Commercial Terms & Conditions
These Commercial Terms (“Terms”) govern all transactions entered into by Preemptive Technofield Pvt Ltd.
(“Company”) with its customers (“Customer”).
Applicability
These Terms apply to all quotations, purchase orders, invoices, deliveries, and services unless expressly agreed otherwise in writing.
Pricing & Taxes
All prices are exclusive of applicable taxes, duties, cess, or statutory levies. Any change in law shall be borne by the Customer.
Payment Obligations
- Payments shall be made within the invoice due date.
- Delayed payments shall attract interest at 24% per annum, calculated daily.
- The Company reserves the right to suspend delivery/services for non-payment.
Delivery & Deemed Acceptance
- Delivery schedules are best-effort unless contractually committed.
- Customer must notify discrepancies within 3 days of receipt.
- Failure to notify shall constitute deemed acceptance.
OEM Products & Warranty Disclaimer
- Products are supplied on a back-to-back OEM basis.
- Company disclaims all warranties except those expressly provided by OEM.
- Company’s obligation is limited to facilitating OEM support.
- All products must be covered under a valid support contract within 10 days from the date of purchase.
Failure to activate the support contract within this period will release us from any liability, including but not limited to returns, removal
of ZORO status, terminated or scrapped product status, and any support or replacement-related claims.
Limitation of Liability
To the fullest extent permitted by law:
- Company shall not be liable for indirect, incidental, special, or consequential damages.
- Total liability shall not exceed the net amount paid for the specific product/service.
- No liability for data loss, cyber incidents, or third-party system breaches.
- Products are not intended for aviation, medical, life-saving, or nuclear use.
Force Majeure
Neither party shall be liable for delays due to events beyond reasonable control including acts of God, government actions, strikes, or pandemics.
Confidentiality
All confidential information shall be protected and not disclosed without prior written consent. This obligation survives termination.
Anti-Bribery & Compliance
The Company complies with all applicable anti-corruption laws including the Prevention of Corruption Act, 1988.
Governing Law & Jurisdiction
These Terms shall be governed by Indian law.
Courts at New Delhi shall have exclusive jurisdiction.
Amendments
The Company reserves the right to modify these Terms without prior notice. Continued business constitutes acceptance.
